SS Retail IPO


The SS Retail IPO journey began with the filing of its DRHP on December 27, 2025. The public offer is being made as a 100% book-built issue. The SS Retail IPO is for a fresh issue of equity shares of ₹300 crores and an OFS of ₹200 crores. Thus, the total size is approximately ₹500 crores. Although the price band and date of issue will be finalized when the red herring prospectus is issued, the company has received in-principle approvals to list the shares on the BSE and the NSE. The book-running lead managers are Anand Rathi Advisors Ltd. and Emkay Global Financial Services Ltd., and the registrar to the issue is KFin Technologies Ltd.

Company Background

SS Retail Ltd. was incorporated on June 14, 2016, as "SS Communication & Services Private Ltd." in Kolhapur, Maharashtra. The company evolved into "SS Retail Private Ltd." in July 2025 before converting into a public limited company, "SS Retail Ltd.," in September 2025. It has since grown into a leading multi-brand retail chain specializing in mobile phones and consumer electronics.

Operations and Product Range

The foundation of SS Retail Ltd. is an extremely strong retail model centered on mobile phones and their accessories and other consumer electronics. SS Retail Ltd. operates as a multi-brand retailer with a major presence across four states: Maharashtra, Karnataka, Madhya Pradesh, and Goa. SS Retail Ltd. is focusing much of its efforts on small towns and cities (Tiers II and III), primarily by providing consumer electronics (durable products), as well as IT (information technology) equipment. Hence, SS Retail Ltd. has a broad outreach to serve diverse customer groupings with its stores located between Western and Central India.

Facilities and Capacity

The facilities and infrastructure that support SS Retail Ltd. are quite impressive, with a very large number of locations (i.e., 347) as of March 31, 2025, representing an enormous amount of storage space to house inventory. Most of the SS Retail Ltd. locations are in Maharashtra, making it the largest mobile phone retail chain in both Maharashtra and Western India. To ensure compliance with the company’s unique operational model, the in-house proprietary IT system provides real-time tracking capabilities for inventory and sales at all store locations. Additionally, the company’s inventory model includes a strong supply chain for direct purchasing from several key manufacturers or directly from their respective authorized distributors at the manufacturer’s request.

SS Retail Ltd. has a strong brand presence in India through its own brand and three main retail brands. It is the 4th largest mobile phone retailer in India among its competitors. The company has established itself as a trusted source for consumers, with localized marketing efforts and customized assortments of products in the markets it serves. Its strong reputation in the CDIT retail market is one of the main reasons for the company’s continued success in this very competitive industry.

Revenue Streams and Business Model

SS Retail Ltd. is a multi-brand retail company with over 450 stores operating under a hybrid COFO and FOFO retail format mainly in Maharashtra. The major sources of revenue are generated through mobile phone and electronic device retailing, along with pre-owned phone retailing through "Mobile Exchange Wala." Franchise and services-based income are also sources of additional revenue.

Management and Shareholding

SS Retail Ltd. is sponsored by Siddharth Gunvant Shah, Deepa Siddharth Shah, Harshal Kishor Parekh, and Bhavini Harshal Parekh, who collectively own the bulk equity shares of this firm. Siddharth Shah, who serves as the chairman and managing director of this enterprise, has extensive experience of over 23 years in the retail industry. The large-scale equity shareholders of this firm comprise promoters as well as Rakhi Narendra Firodia, who is participating in the offer for sale shareholding. The promoters still have control over this firm even after the issue of fresh equity shares through the SS Retail IPO.

Board and Key Management

SS Retail Ltd. is overseen by a diverse mixture of eight directors who work together as part of the Board of Directors, including Chairman/Managing Director Siddharth Gunvant Shah. The Executive Team has brought in additional hands on deck to aid in the management of the organization through the titles of Whole Time Directors (WTDs): Harshal Kishor Parekh, Deepa Siddharth Shah, and Sagar Patil. The governance of the organization will be achieved through the inclusion of four independent directors: Ajay Sharma, Anupama Wagh Koppar, Manoj Jain, and Vinit Teredesai. The other key management members are CEO Nitin Kumar Jain and CFO Rajneesh Gulati.
