EMA Partners India Limited has issued a Letter of Offer dated May 05, 2026, for the buyback of up to 7,25,000 (Seven Lakh Twenty-Five Thousand) fully paid-up equity shares of face value ₹5/- each, at a buyback price of ₹100/- (Rupees One Hundred Only) per equity share, payable in cash. The aggregate buyback size is up to ₹725 Lakhs (Rupees Seven Hundred Twenty-Five Lakhs Only), excluding transaction costs. Buyback Entitlement by Shareholder Category
The buyback offer is divided into two categories — a reserved category for small shareholders and a general category for all other eligible shareholders. The entitlement ratios are as follows:

Assuming 100% acceptance from all eligible shareholders up to their buyback entitlement, the aggregate shareholding of the Promoter and Promoter Group may increase to 65.76% from 63.71% prior to the buyback, while public shareholding may decrease to 34.24% from 36.29%. The Company has deposited an escrow amount of ₹761.25 Lakhs (Rupees Seven Hundred Sixty-One Lakh and Twenty-Five Thousand Only) in cash in the escrow account opened with Axis Bank Limited.
Promoter Shareholding and Participation
The Promoter and Promoter Group hold 63.71% of the total outstanding equity share capital as on the date of the Public Announcement. The promoters — Mr. Krishnan Sudarshan and Mr. Subramanian Krishnaprakash — along with all members of the Promoter Group, have expressed their intention not to participate in the buyback, vide their letters dated April 23, 2026. Accordingly, the equity shares held by the Promoter and Promoter Group will not be considered for computing the entitlement ratio, resulting in a higher buyback entitlement for other eligible shareholders.
Company Financial Performance
On a standalone basis, EMA Partners India Limited reported total income of ₹4,422.05 Lakhs for the financial year ended March 31, 2026, compared to ₹1,545.01 Lakhs and ₹1,614.43 Lakhs for the financial years ended March 31, 2025 and March 31, 2024, respectively. Net profit after tax stood at ₹876.82 Lakhs for FY2026, against ₹197.30 Lakhs for FY2025 and ₹165.11 Lakhs for FY2024.
On a consolidated basis, the Company reported total income of ₹9,058.17 Lakhs for FY2026, compared to ₹7,902.07 Lakhs for FY2025 and ₹6,883.45 Lakhs for FY2024. Net profit after tax and after minority interest was ₹1,230.51 Lakhs for FY2026, against ₹1,261.38 Lakhs for FY2025 and ₹1,427.28 Lakhs for FY2024.
