Solar Industries has announced that it has entered into a definitive agreement to acquire South Africa-based chemical solutions company Omnia Holdings. Solar SA Investments Proprietary Ltd said that it is set to purchase all remaining shares of Omnia Holdings Ltd, a company based in South Africa, for around ₹12,951 crore in a transaction that will be entirely in cash.
ABOUT THE ACQUISITION AND SCOPE In an announcement issued on September 14, the company said that its subsidiary, Solar SA Investments Proprietary Limited, a wholly owned step-down subsidiary of the Company and Solar Overseas Mauritius Limited, a wholly owned subsidiary of the Company, have entered into a definitive agreement with Omnia Holdings Limited on September 14, 2026.
Solar Industries said that the explosives company intends to create a global platform for commercial explosives and blasting solutions by strengthening the group’s international presence, expanding geographical footprint, enhancing technological capabilities and diversifying business operations.
The acquisition is expected to be completed in early to mid-2027. The Nagpur-based company said that upon successful completion of the transaction, Omnia will be delisted from the Johannesburg Stock Exchange and A2X Markets securities exchange. Q1 PERFORMANCE AND STOCKS The company reported that net profit jumped 92.7% from a year earlier to ₹652.6 crore in the quarter ended June 30. This figure was higher than the previous quarter, when the company reported ₹338.7 crore in profit. On the revenue front, the company reported an increase of 71.2% to ₹3,688.2 crore from ₹2,154.5 crore.
Taking a look at the profitability, the Earnings before interest, taxes, depreciation and amortisation, or EBITDA, rose 93.6% to ₹1,035.2 crore from ₹534.9 crore. EBITDA margin expanded to 28.1% from 24.8%. The shares of Solar Industries saw a decline of 0.30% in Friday's trade.
The company's shares saw a rise of nearly 60% in the past 6 months. The company's shares currently stand at ₹22,290 per share; the stock price is only down 1% from the 52-week high of 22,625 per share.
