The NSE received final observations from the SEBI on September 4, 2026. This came after NSE filed its DRHP on June 17, 2026, following SEBI’s no-objection certificate (NOC) in January.
NSE’s IPO journey dates back to December 2016, when it first filed its DRHP. The process was later caught up in regulatory proceedings related to the co-location case, along with the separate dark-fibre matter.
The issues led to years of investigations, regulatory action and legal challenges. SEBI had also imposed penalties on NSE. The process began moving towards a resolution after the exchange agreed to settle the co-location and dark-fibre matters for Rs 1,491.21 crore. The settlement helped remove one of the key obstacles standing in the way of the listing.

-State Bank of India: To sell 15.97 million shares
-MS Strategic (Mauritius): To sell 11.00 million shares
-Bank of Baroda: To sell 7.69 million shares
-Stock Holding Corporation of India: To sell 6.19 million shares
-General Insurance Corporation of India: To sell 6.19 million shares
-National Insurance Company: To sell 4.00 million shares
-Mahagony Limited: To sell 3.00 million shares
-Indian Bank: To sell 1.50 million shares
-SBI Capital Markets to sell 8.78 million shares.
The NSE IPO issue price band has been announced at Rs 1,700-1,785 per share. The issue size at the upper end of the price band is Rs 22,561.57 crore. The size for one lot size has been fixed at 8. This means retail investors can bid for a minimum of 8 shares and in multiples thereof.
The NSE IPO is primarily an offer for sale with several marquee stakeholders expected to offload stake. SBI is one of the largest stakeholders set to offload their stake. SBI holds around 3.23% while its subsidiary, SBI Capital Markets owns 4.33% stake in NSE. SBI Life Insurance Company holds around 0.33%.
However, the latest reports inodcate that SBI may paredown its stake sale from what was anticipated originally.
The latest Reuters report indicates that the NSE issue could potentially be cut 15% from what was originally envisaged. The IPO size is likely to be smaller than what was anticipated. However, it is still set to be one of the largest issues in India's primary market history. Tentatively the issue size is seen exceeding Rs 20,000 crore.
