Coforge’s overall governance remains of reasonable quality, but the recent issue involving former chairman OP Bhatt needs more clarity, according to Hetal Dalal, President and COO of Institutional Investor Advisory Services . She said an internal audit has flagged a gap in the information shared with board members during the board evaluation process, but the seriousness of the issue cannot yet be assessed without knowing what information was withheld and why.“I think the processes are strong that this got brought out,” Dalal said.
She added that IiAS does not have significant concerns over Coforge’s overall governance, but the specific incident needs further information before a conclusion can be reached. According to Dalal, the company’s operations and financial performance do not appear to be affected by the matter, in line with Coforge’s own comments.

However, the information flow between the chairman and the rest of the board is an area of concern that the company needs to address. The fact that an internal audit identified the issue is also a positive, Dalal said. While board evaluations are mandatory for companies, conducting an internal audit specifically to examine board processes is not common practice and can indicate stronger governance systems.
The key unanswered question is the nature of the information gap. If the information was material and had an impact on board decisions, the issue could be more serious. Dalal said investors should therefore wait for the board to complete its assessment before drawing conclusions.

Another point that needs attention is Bhatt’s earlier reappointment vote. He was due for reappointment in May 2027, but the resolution presented at the August annual general meeting failed to secure the required 75% approval. Dalal said it remains an open question whether that voting outcome is connected to the current issue.“It’s hard to tell because we don’t know exactly what the information gap was,” Dalal said.
