Godrej Industries Ltd on Thursday said it has sold 0.50% of its equity stake in Godrej Consumer Products Ltd through an open market sale for ₹450.12 crore. The transaction was completed on Thursday, September 24, 2026. Following the sale, Godrej Industries continues to hold 23.23% of Godrej Consumer Products Ltd's equity share capital, and Godrej Consumer Products remains an associate company of Godrej Industries.
As of March 31, 2026, Godrej Consumer Products Ltd contributed ₹3,989.08 crore, or 35.69%, to Godrej Industries' consolidated net worth. Its contribution to consolidated turnover, income or revenue was nil. The buyers have not been separately identified in the disclosure.
Godrej Industries said the transaction does not fall under related-party transactions. The company has also stated that the transaction is not a sale, lease or disposal of an undertaking outside a scheme of arrangement, and the provisions relating to slump sale are not applicable.
Consolidated net profit fell to ₹284 crore in the first quarter of FY27 from ₹350 crore a year earlier, according to an exchange filing. Revenue from operations rose 22.2% to ₹5,448.1 crore from ₹4,459.8 crore a year earlier. Earnings before interest, taxes, depreciation and amortisation, or EBITDA, jumped 52.4% to ₹604.7 crore from ₹397 crore.
The EBITDA margin widened to 11.1% from 8.9%. The company said profit attributable to non-controlling interests isn't directly comparable with the year-earlier period because of changes in subsidiary Godrej Agrovet's ownership of Creamline Dairy Products.
Godrej Properties, the group's real-estate business, reported booking value of ₹8,651 crore in the June quarter, up 22% from a year earlier. It also added three projects with an estimated saleable area of about 8 million square feet and potential booking value of ₹9,500 crore.
Shares of Godrej Industries Ltd ended at ₹1,098.10, down 0.76%, while Godrej Consumer Products Ltd closed at ₹874.50, down 0.63%, on the BSE.
