Shares of Federal Bank and Jana Small Finance Bank will continue to remain in focus on Wednesday, August 26, after CNBC-TV18 reported that talks between the two lenders over a potential transaction are in advanced stages. According to sources, Federal Bank is looking to acquire a controlling stake in Jana SFB, with Jana Holdings, the promoter, likely to sell its entire 16.9% stake.
Federal Bank is also expected to launch an open offer following the promoter stake purchase, sources said. Brokerage firm Citi has maintained a 'Neutral' rating on Federal Bank with a price target of ₹360 per share. In a note assessing the potential operational and financial contours of a Jana SFB acquisition, Citi said Jana's assets under management and deposits are equivalent to around 14% and 11%, respectively, of Federal Bank's advances and deposits.
According to the brokerage, the transaction could potentially give Federal Bank greater geographic reach into underpenetrated markets and access to a high-yielding, granular secured retail portfolio. It could also help Federal Bank diversify its priority sector lending exposure, expand its captive customer base for liability cross-selling and benefit from a potential funding-cost arbitrage.
Jana SFB's CASA ratio stands at around 18-20%, compared with more than 32% for Federal Bank, while Jana's cost of funds is around 7.4%, compared with 5.2% for Federal Bank, Citi said. However, Citi said that the market's negative reaction to Federal Bank's stock reflects concerns around the potential transaction, including integration complexity, the possibility of inheriting Jana's unsecured portfolio and uncertainty around the deal structure and valuation.
While Jana's unsecured exposure remains a concern, Citi said the CGFMU guarantee could provide some buffer. Federal Bank eyes Jana SFB? Federal Bank and Jana SFB are likely in advanced stages of discussions, with Federal Bank looking to acquire a controlling stake in the small finance bank.
Jana Holdings, which held a 16.9% stake in Jana SFB as of June 30, is likely to sell its entire stake, sources said. Federal Bank is expected to launch an open offer following the acquisition of the promoter stake. What Jana SFB had saidIn a July 9 exchange filing, Jana SFB said Jana Holdings held a 16.9% stake in the bank as of June 30.
The promoter had divested a 4.9% stake during Q1FY27 and intended to further monetise its holding. Jana Holdings had also indicated that it would seek reclassification as a public shareholder once its stake falls below 9.99%. CNBC-TV18 had reported in July that Jana sources said a potential merger with a peer bank was also under consideration.
Jana Holdings' debtJana Holdings owes around ₹700 crore to TPG Asia against 37,000 NCDs issued in May 2023. The repayment was due on June 30, 2026, but the lender agreed to roll over the payment. Separately, the Federal Bank board approved a proposal on August 21 to raise up to $500 million through bonds.
